How to post a modification in the Trade Registry Modifications You may make various types of modifications concerning your registration. They must be posted in the Trade Registry. You must declare them to the local register of the court having jurisdiction over your company, by filing an N4 or 4/1 form and the documents and/or contracts certifying the changes. You may carry out modifications relating to:
- the address,
- the family name,
- the activity,
- the sign,
- the denomination or acronym
- the members of the Board of Directors,
- the share capital,
- the legal nature of the company,
- the merger with another company,
- the creation of a branch or subsidiary
- etc.
Deletions Automatic deletion from the Trade Registry may be decided due to the violation of the personal character of the registration: - A tradesman (natural person) may be automatically deleted:
- if he is affected by a ban to exercise an commercial activity following a court decision; - if he has deceased for more than a year; - The tradesman has stopped exercising for more than 3 years the activity which he registered for ; - A company (artificial person) may also be automatically deleted:
- if it is undergoing a closing, is placed under court supervision or is the subject of a bankruptcy procedure - three years after its dissolution. - The company merges with another company. - Deletion may be requested by :
- a judge - the tradesman himself - the heirs in the event of the tradesman's death - the liquidator of the company - the managers or members of the managing or administrative bodies of the company, in function at the time of its dissolution.
